Part A – Terms and Conditions for Clients

1. Introduction

  • Ariston Education is an agent for the introduction of one or more Tutors to the Client. Ariston Education does not provide tutoring services directly. We are a tutoring agency and we are a party to this contract.
  • You are referred to in this contract as ‘the Client’, and you are the other party to this contract. You agree to the purchase of tutoring services on behalf of ‘the Student’. ‘The Student’ may be yourself or another person. The Student is the person who receives the tutoring service through sessions of tutoring.
  • The Client agrees to these terms and conditions which relate to Ariston Education’s introduction of a Tutor to the Client.
  • The tutoring services are provided by the Tutor under a separate agreement between the Client and the Tutor.
  • The Termination or Conclusion of the Agreement occurs when all obligations under this contract are complete or discharged, excluding the ongoing undertakings in paragraphs 5c and 5d. Conclusion will typically occur at the end of the final lesson but may occur at another time in accordance with Section 6.

2. General

  • The Client acknowledges that these terms govern the legal rights and obligations between the Client and Ariston Education. Ariston Education reserves the right to alter these terms and conditions.
  • No variation or alteration of these terms by the Client shall be valid unless expressly approved in writing by Ariston Education.
  • This agreement is governed by the laws of England and Wales and the parties submit to the jurisdiction of the Courts of England and Wales.

3. Contractual Relationship

  • Ariston Education provides introductions of Tutors to Clients and vice versa; Ariston Education acts as an agent for the Tutor.
  • A Tutor will be deemed to have been introduced to the Client by Ariston Education in the event that either the name of the Tutor is provided to the Client by Ariston Education following the Client’s request, or Ariston Education arranges for a Tutor to contact the Client following such request.
  • By booking a Session with the Tutor, the Client agrees to be bound by these Terms and Conditions and by the terms and conditions which govern their relationship with the Tutor.
  • The Tutor is self-employed and engaged by the Client to provide tuition to the Student. Clients should be aware that the Tutor does not have authority to bind Ariston Education in any way.

4. Prohibition of Private Arrangements

  • The Client will not agree to any alternative fees with the Tutor and agrees not to render any direct payments to the Tutor.
  • The Client is not permitted to enter into any private arrangements with any Tutor introduced by Ariston Education. The Client undertakes to make all bookings exclusively through Ariston Education.
  • A breach of these terms will render the Client liable to account to Ariston Education for all sums paid to the Tutor directly, and Ariston Education shall be entitled to seek injunctions to prevent further breaches. These obligations continue beyond the termination or conclusion of this agreement.
  • Should you wish to recommend one of Ariston Education’s Tutors to any other potential Client, that Client must contact Ariston Education to make a booking through the agency.

5. Replacements

  • In the unlikely event that a Tutor is unable to complete the Course of Tuition, or the Client requests a replacement because they are not satisfied with the original Tutor, Ariston Education will endeavour to find up to two suitable replacement Tutors with regard to the level and subject required.
  • If the replacement Tutors meet Ariston Education’s criteria for suitability and are available at a time convenient for the Client, then Ariston Education has fulfilled its obligations; if the Client then wishes to terminate the Tuition mid-Course, the provisions of paragraph 6d will apply.
  • If the Client wishes to terminate Tuition mid-Course for any reason, no refunds can be granted for sessions already taught.

6. Payment and Fees

  • Ariston Education’s fees are absolute and no deviation can be considered without written permission. Ariston Education will agree fees with the Tutor and Client before commencement of the first Tutoring session, including the commission and registration fee payable to Ariston Education.
  • Ariston Education will endeavour to invoice the Client after every lesson, on behalf of and as agent for the Tutor. Invoices are sent at the end of the day for that day’s completed tutorials.
    • GCSE Revision Packages must be paid for in full at the time of booking. Access to scheduled sessions is only guaranteed once payment has been successfully processed. These packages create a credit balance on the Client’s account specifically for the designated revision course.
    • Due to the intensive nature and limited capacity of GCSE Revision Packages, these bookings are non-refundable. If a Student fails to attend a scheduled session, no pro-rata refund or make-up session will be provided unless the absence is due to a documented medical emergency.
  • Client invoices are based upon completed tutorial hours agreed between Client and Tutor and recorded on TutorCruncher by the Tutor. The invoice generated from completed hours submitted by the Tutor acts as a formal record for payment purposes and in the event of a dispute.
  • It is the Tutor’s responsibility to ensure their hours are logged and up to date. Payment to Tutors cannot be made without this information being submitted to TutorCruncher. The Client and Tutor must refrain from entering into financial discussions; if such discussions arise, the matter must immediately and respectfully be referred to Ariston Education.
  • The Tutor is never paid directly by the Client.
  • All payments are handled via Stripe Express, operated through TutorCruncher, which collects payments and distributes them between the Tutor and the agency accordingly. Clients are aware of the split between the agency fee and the Tutor’s hourly fee.
  • The agreed fee shall include the Tutor’s fee plus the agency platform fee. The usual payment method is via debit or credit card through TutorCruncher.
  • All electronic payments are administered through Stripe. The Client will be required to permit the storage of debit or credit card details on this system to allow automatic payment for each invoice. Acceptance of these Terms includes acceptance of automatic payments on the basis outlined above.
  • Payment will be attempted automatically one day after the date of invoice. The Tutor and Ariston Education will be made aware via TutorCruncher of any invoices which remain outstanding.

7. Consumer Cancellation Rights

  • Where the Client is a consumer (including a parent or guardian booking on behalf of a Student), this agreement may be subject to the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 where it is concluded at a distance or off-premises.
  • Subject to clause 7c below, the Client has the right to cancel this agreement within 14 days of its conclusion without giving any reason (the ‘Cooling-Off Period’). To exercise this right, the Client must inform Ariston Education of their decision to cancel by a clear statement (e.g. by email to info@ariston.education) before the Cooling-Off Period has expired.
  • GCSE Revision Packages: By booking and paying for a GCSE Revision Package, the Client expressly requests that the service commence immediately upon the start date of the package. The Client acknowledges and agrees that once the course has commenced (i.e. the first scheduled session has taken place), the statutory right to cancel under the Consumer Contracts Regulations 2013 is lost in respect of that package. Cancellations made at least 14 days prior to the course start date remain subject to the 50% refund provision set out in clause 9(i). This does not affect the Client’s statutory rights in relation to services not yet commenced.
  • Nothing in these Terms and Conditions is intended to, or shall be deemed to, limit or exclude any statutory rights which a consumer may have under applicable law.

8. Client’s Responsibilities

  • The Client shall notify Ariston Education immediately, and in any event within 24 hours, if the Tutor fails to attend or notifies the Client that they are unable to attend a session for any reason.

9. Liability

  • Ariston Education does not accept any liability for any claims by the Client arising out of or related to the provision of tutoring services by the Tutor.
  • Ariston Education does not exclude liability that is not permitted by law, and in particular does not exclude liability for death or personal injury arising from Ariston Education’s own negligence.
  • Ariston Education will not be liable to the Client or any third party for any act, omission or error (whether wilful, negligent or otherwise) of the Tutor.
  • Whilst every effort is made to ensure reasonable standards of skill, integrity and reliability from Tutors, Ariston Education is not liable for any loss, expense, damage or delay arising from the negligence, dishonesty, misconduct or lack of skill of the Tutor.
  • The Client shall indemnify and keep indemnified Ariston Education against any costs, claims or liabilities incurred by Ariston Education arising from any Assignment or as a result of any breach of these Terms by the Client.
  • Ariston Education does not accept any liability for the consequences of tuition, including but not limited to exam results.
  • Ariston Education is not responsible for insurance arrangements in respect of the Tutor providing tutoring services.
  • Limitation of Liability Cap: Save in respect of death, personal injury, or fraud, Ariston Education’s total aggregate liability to the Client under or in connection with this agreement (whether arising in contract, tort, breach of statutory duty, or otherwise) shall not exceed the total fees paid by the Client to Ariston Education in the three (3) months immediately preceding the event giving rise to the claim.

10. Scheduling and Cancellation

  • The Client and Tutor should notify each other in advance of any leave commitments and any adjustments to the Tuition schedule necessitated through illness. Both parties will do their utmost to rearrange any cancelled tuition.
  • Failure by the Client to notify the Tutor where the Tutor has made themselves available for a session, or failure to give at least 24 hours’ notice of cancellation (except in unforeseeable circumstances), will result in the Minimum Fee being charged at the contractual hourly rate.
  • Should the Tutor not be available on the day, the Client will be informed and a rearranged time will be offered by the Tutor.
  • If a tutorial falls on a Bank Holiday or other national or religious holiday that either party wishes to observe, an alternative Session must be arranged.
  • If the Student is late for a Session, the Tutor may choose to, but is not obligated to, work beyond the scheduled end time. If the Tutor stops at the scheduled end time, the Session will be charged at the usual price. Any additional time agreed with the Client will be charged on the following invoice.
  • If the Student or Client chooses to terminate a Session early, the Session will be charged at the usual price.
  • Prior to Sessions, Clients will receive a lesson reminder from Ariston Education via email on behalf of the Tutor.
  • Should the Client wish to terminate the contract before conclusion of the agreed Tuition period, a minimum of seven (7) days’ written notice is required, given by email to info@ariston.education. This cancellation provision applies after tuition sessions have commenced.
    • Package Cancellation: Cancellations for GCSE Revision Packages must be made at least 14 days prior to the course start date to receive a 50% refund. Cancellations made less than 14 days before the start date are non-refundable. This overrides the standard cancellation notice period in clause 10h.
    • Minimum Enrolment: Ariston Education reserves the right to cancel a GCSE Revision Package if minimum enrolment numbers are not met. In such cases, Clients will be offered a full refund or the option to transfer credit to a different package or private tuition.
  • Both the Client and the Tutor must inform each other in advance of any changes to the planned schedule and notify Ariston Education accordingly. A 24-hour cancellation policy prevails. Ariston Education reserves the right to charge the Client in full if a lesson is cancelled at short notice or missed (except in unforeseeable circumstances).
  • Should the Student be late for a session, the Tutor will wait up to 15 minutes whilst attempting to contact the Client. If the Client does not respond or the Student does not arrive within 15 minutes of the agreed start time, the Tutor may treat the session as a cancellation and charge accordingly under clause 10b.

11. Online Tuition

  • Where Tuition is delivered online, both the Client and the Tutor are responsible for ensuring they have a suitable internet connection, device, and access to the agreed platform (e.g. video conferencing software) prior to each session. Ariston Education accepts no liability for technical difficulties, connectivity failures, or platform outages experienced by either party.
  • If an online session cannot proceed due to a technical failure on the Tutor’s side, the Tutor shall arrange a make-up session at no additional charge to the Client. If the technical failure is on the Client’s side, the session may be charged at the usual rate at the Tutor’s discretion.
  • The recording of any online Tuition session is prohibited without the prior written consent of all parties (the Tutor, the Client, and in the case of a Student under 18, their parent or guardian), in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Any recordings made with consent are for the personal use of the Student only and must not be shared, distributed, or published.
  • The requirement in clause 13 (Duty of Care) for a responsible adult to be present on the premises applies equally to online sessions involving Students under the age of 18.

12. Data Protection

  • The Client agrees that they will not disclose any confidential information concerning the Tutor or Ariston Education to any person for the duration of this agreement and for a period of five years after termination, save as required by law, court order or any governmental or regulatory authority. More detailed information is available in the Privacy Policy on Ariston Education’s website.
  • Information stored relating to Clients and Tutors is solely for the use of Ariston Education in providing its services. When Clients provide data, they consent to Ariston Education using this information to arrange introductions to Tutors and for payment purposes, recording of Client satisfaction, regulatory obligations, and marketing communications. You may opt out of marketing communications at any time. Ariston Education retains data securely on the TutorCruncher database, which is UK GDPR compliant. Any other data is stored in a secure and protected environment with authorised access only, in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

13. Duty of Care and Safeguarding

  • It is a requirement of Ariston Education that a responsible adult or guardian over the age of 18 be in attendance on the premises (including, for online sessions, available and contactable) at all times during each Tutoring session involving any Student under the age of 18.
  • A Tutor’s priority and responsibility is to teach the Student and cannot be held responsible for caring for minors or guarding a house or household effects.
  • Ariston Education operates a separate Safeguarding Policy. All Tutors are required to hold a valid Enhanced DBS certificate. Ariston Education is committed to the safety and welfare of all Students.
  • As a contracting agent on behalf of the Tutor, Ariston Education will accept no liability to any party for any act, omission or error, whether intentional, negligent or in any respect that has been occasioned by the Tutor.

14. Force Majeure

  • Neither Ariston Education nor the Tutor shall be liable for any failure or delay in performing their obligations under this agreement where such failure or delay results from any cause that is beyond their reasonable control. Such causes include, but are not limited to: acts of God, pandemic, epidemic, public health emergency, fire, flood, adverse weather, industrial action, civil unrest, government action, or failure of utility services or internet infrastructure.
  • In the event of a force majeure event affecting a Tutor’s ability to deliver sessions, Ariston Education will endeavour to arrange a replacement Tutor in accordance with clause 5 or, where this is not possible, to reschedule affected sessions. Where rescheduling is not possible, a pro-rata refund may be offered at Ariston Education’s discretion.

15. Complaints Procedure

  • Ariston Education is committed to providing a high-quality service. If the Client has a complaint about any aspect of the service provided by Ariston Education (as distinct from the Tutor), the Client should submit the complaint in writing by email to info@ariston.education.
  • Ariston Education will acknowledge receipt of the complaint within five (5) business days and will aim to provide a full response within twenty (20) business days.
  • If the Client is not satisfied with Ariston Education’s response, the Client may refer the dispute to an independent Alternative Dispute Resolution (ADR) provider. In accordance with the Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015, Ariston Education will provide details of an appropriate ADR scheme upon request. Ariston Education is not obliged to participate in ADR proceedings but will consider each case on its merits.

16. Equality and Non-Discrimination

  • Ariston Education is committed to equal opportunities and does not discriminate against Clients, Students or Tutors on the basis of any protected characteristic as defined in the Equality Act 2010, including age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex, or sexual orientation.
  • Clients and Tutors are expected to conduct themselves in a manner consistent with these values throughout their engagement with Ariston Education.

17. Course Materials and Intellectual Property

  • Any materials provided as part of a GCSE Revision Package are for the sole use of the enrolled Student and may not be reproduced, shared, or redistributed without the express written permission of Ariston Education.
  • Any bespoke materials created by a Tutor during private one-to-one sessions remain the intellectual property of the Tutor unless otherwise agreed in writing. Ariston Education owns the intellectual property in all materials it produces independently of Tutors.

18. Acceptance of Terms

Acceptance of our services will be taken to represent agreement to these Terms and Conditions. Ariston Education reserves the right to alter these Terms and Conditions at any time. For any alterations or variations to be valid, they must be approved by the Director of Ariston Education and communicated to Clients.

Part B – Terms and Conditions for Tutors

1. Self-Employment

  • Ariston Education represents Tutors as self-employed individuals. All Tutors must provide proof of their sole-trader status in the form of their Unique Taxpayer Reference (UTR) number, supplied by HMRC, within three months of approval by Ariston Education. Tutors who fail to comply within three months of their first assignment may be removed from Ariston Education’s register. Ariston Education may be required to report such instances to HMRC.
  • Self-employed Tutors with Ariston Education may tutor independently and may engage the services of other intermediaries.
  • Once a tutoring position has been confirmed, you are entering into a contract between you (the Tutor) and the Client (the Student, or the Student’s parent/guardian). Ariston Education acts as an agent on behalf of both parties. Ariston Education is responsible only for making introductions and is not responsible for the content of lessons or teaching methods. Payments are processed by TutorCruncher via Stripe Express and not directly handled by Ariston Education.
  • The Tutor is an independent contractor. This Agreement shall not be construed to create any association, partnership, joint venture, employee, or worker relationship between Tutor and Ariston Education. The Tutor has no authority to bind Ariston Education and shall not make agreements or representations on Ariston Education’s behalf without prior written consent.

2. Tax

  • As a self-employed individual, it is the Tutor’s responsibility to declare earnings from tuition to HMRC and to make any tax contributions required.
  • Educational services provided by self-employed Tutors are exempt from VAT and this will not appear on invoices.
  • Ariston Education is not currently VAT registered; therefore commission is not subject to VAT. Tutors will be informed in advance should this status change.

3. Description of Services

  • This is a Contract for Services. It is not a contract of employment.
  • The Tutor shall be entirely self-employed and nothing in this Agreement constitutes an employer/employee relationship.
  • Ariston Education is under no obligation to provide any further work in the future.
  • In exchange for the agreed fee, the Tutor agrees to be available to provide services at the request of the Client at such times as are mutually convenient.
  • The Tutor shall have no obligation to provide services, nor shall the Client have any obligation to provide work for the Tutor.
  • The Tutor shall at all times perform services to the highest standard. In particular, the Tutor shall: be punctual; be presentable and dressed appropriately; be polite, diligent and helpful; never use profanity or sexual innuendo in front of a Client or Student or make derogatory remarks about a Student (any Tutor who does so will be removed from Ariston Education immediately); carry out all necessary preparation for each tutoring session; and not cancel lessons unless absolutely necessary. Tutors who repeatedly cancel or fail to notify Clients of cancellations may be removed from the team.
  • If delayed due to circumstances beyond their control, the Tutor must contact the Client promptly. The Tutor agrees to make up lost time, either in the same session or in a subsequent session.
  • The Tutor must keep the Client informed of any issues or concerns relating to each Student, as and when they arise.
  • The Tutor agrees not to smoke within the vicinity of the tutoring placement or during an online lesson.
  • The Tutor agrees to remain reasonably contactable by email and telephone to enable the Client to communicate possible hours of tuition and any cancellations.
  • Once the Tutor has accepted a placement, they are committed to the specified times and dates.
  • The Tutor shall, at the Client’s request, provide information regarding the Student’s performance.
  • The Tutor shall keep an up-to-date record of all hours worked and the Student’s academic performance or exam progress.

4. Relationship with Ariston Education

  • The Tutor accepts to provide a one-off free introductory session to the Client, during which the Tutor will meet the Student, briefly assess their level, and discuss the frequency of lessons required to achieve the Client’s desired outcome.
  • During the introductory session, the Tutor must agree on hours and days for lessons and inform Ariston Education if they wish to proceed so the assignment can be formally allocated.
  • The Tutor must not discuss their fees with the Client at any point.
  • The Tutor accepts that they have no direct contractual relationship with Ariston Education as a company and therefore Ariston Education has no contractual obligations or liability to the Tutor beyond those expressly stated in this agreement.

5. Payment and Cancellation Policy

  • All payments are made by the Client and handled by TutorCruncher via Stripe Express. TutorCruncher collects payments from the Client and distributes the Tutor’s hourly rate and the agency fee accordingly. All lessons must be recorded and charged to the Client by the Tutor via TutorCruncher.
  • Both the Client and the Tutor must notify each other in advance of holiday commitments or changes to the tuition timetable due to illness, and an alternative date will be arranged. Where the Client fails to give at least 24 hours’ notice of cancellation (except in unforeseeable circumstances), the Tutor may charge the Minimum Fee at the contractual hourly rate by marking attendance as ‘Did not attend – chargeable’ in TutorCruncher.
  • In the event of a late cancellation by the Client, rescheduling is at the Tutor’s discretion and availability. In the event of genuine unforeseen circumstances, Ariston Education recommends that no fee be charged.
  • The Tutor is responsible for all travel expenses. If the Tutor wishes to be recompensed for travel costs, Ariston Education will discuss this with the Client but cannot guarantee agreement.
  • The Tutor acknowledges that they are responsible for payment of all taxes, National Insurance and social security contributions due in respect of payments under this Agreement.
  • The Tutor acknowledges that they are not covered by the Client or Ariston Education for any insurance and should take out their own policy in respect of personal and/or third-party claims. Ariston Education strongly recommends that the Tutor holds adequate professional indemnity and public liability insurance.
  • If a Client has not paid for a lesson and is in arrears, the Tutor may decline to deliver future sessions until payment has been made. If the Tutor proceeds with tuition knowing the Client is in arrears, the risk of non-payment rests solely with the Tutor.

6. Online Tuition

  • Where Tuition is delivered online, the Tutor is responsible for ensuring they have a suitable internet connection, device, and working access to the agreed platform prior to each session.
  • The Tutor must not record any online session without first obtaining written consent from the Client and, where the Student is under 18, from their parent or guardian. Any recording made with consent must be used solely for educational purposes and must not be shared with third parties.

7. Tutor Declaration – Qualifications and DBS

  • The Tutor warrants that all information provided to the Client (via Ariston Education or otherwise), whether prior to or during the provision of tuition, is true and accurate. The Tutor has confirmed they are skilled to teach the subjects stated in their CV and has provided qualification certificates. Any breach of this clause entitles the Client to terminate the Tutor’s services immediately.
  • The Tutor must provide Ariston Education with an up-to-date Enhanced DBS certificate, which must be available on the online DBS update service. Ariston Education reserves the right to suspend or remove any Tutor who fails to maintain a current Enhanced DBS certificate.

8. Termination of Agreement

  • Both parties appreciate the importance of trust between the Tutor and the Student. If the Client is not satisfied with the Tutor, the Client must notify the Tutor and Ariston Education in writing. This Agreement shall then terminate with immediate effect and there will be no further charges due to the Tutor. If the Tutor is unhappy with Client or Student behaviour, they must inform Ariston Education, who may terminate the contract with the Client or find an alternative Tutor.
  • Ariston Education may terminate this Agreement with immediate effect if the Tutor commits a serious or material breach of any obligation; repeatedly commits minor breaches; acts in a manner that discredits Ariston Education; or is found guilty of any criminal offence (other than a minor road traffic offence not involving a custodial or suspended sentence).
  • In the event of termination under clause 8b, the Tutor acknowledges liability for any costs, expenses, damages or liabilities incurred by the Client or Ariston Education as a direct result.
  • The Tutor may terminate this Agreement at any time by providing one month’s written notice.

9. Confidentiality

  • The Tutor agrees, both during and after the provision of services, not to disclose to any third party any confidential information relating to the business affairs and operations of Ariston Education, including trade secrets, client lists, information about other Tutors, pricing policies, operational methods, marketing plans, or future business plans.
  • The Tutor agrees to maintain complete discretion regarding the Student, Client, their home and family at all times.

10. Data Protection

  • Ariston Education will use information provided by the Tutor to administer the Services and to assist in placing the Tutor with suitable Students. Tutor information will not be shared with any outside agencies.
  • Ariston Education may use the Tutor’s information and profile image to market its services and attract Clients. No personal contact details or full names will be used and CVs will not be shared publicly.
  • The lawful basis for processing Tutor data was initially the legitimate interest of the agency; further processing is now dependent on consent, except where processing is required to fulfil legal obligations, respond to official requests, or protect vital interests. Tutors may request a Legitimate Interests Assessment at any time.
  • Ariston Education processes the following data about Tutors: name, address, phone number, email address, training/experience/qualifications, DBS certificate number (date of issue and countersignatory), references, and a copy of photographic ID. Data is stored securely in UK GDPR-compliant systems with authorised access only.
  • Tutors are entitled to request a copy of all data stored about them, to request correction of inaccurate data, and to request deletion of data except where doing so would infringe legal record-keeping obligations.
  • Ariston Education will store Tutor data: for two years after registration if no work was provided; or for five years after the January following the end of the tax year in which the Tutor last conducted tuition.

11. Equality and Non-Discrimination

  • Tutors are expected to treat all Students and Clients with equal respect regardless of any protected characteristic as defined in the Equality Act 2010. Ariston Education will not tolerate discriminatory conduct from Tutors and reserves the right to terminate this Agreement immediately in the event of such conduct.

12. Contractual Relationship

  • Ariston Education acts as an agent on behalf of the Tutor, providing introductions to Clients and Students. Tutors are free to provide tuition to students not introduced by Ariston Education.
  • Tutors must not make private arrangements with Clients or Students introduced by Ariston Education, as this would place the Client in breach of their own contract with Ariston Education. Any Tutor who makes a private arrangement with a Client introduced by Ariston Education may be removed from the register.
  • Where Clients or Students introduced by Ariston Education refer Tutors to other Clients (including friends and siblings), Tutors may only provide tuition to such referrals through Ariston Education.
